What is a Confidential Disclosure Agreement (CDA)?

Confidential Disclosure Agreements (CDA) and Non-Disclosure Agreements (NDA) are short contracts governing the transfer of confidential information between UNMHSC investigators and outside entities. A CDA may cover incoming information, outgoing information, or both. Either companies or non-profit organizations ("providers") may require an CDA before they will share their information. CDAs must be signed by the Vice Chancellor for Research to make them valid.

Who Should I Contact about CDAs?

If you are providing information related to an invention disclosed to the Science and Technology Corporation, contact them at (505) 272-7900. Otherwise, contact Pre Award. A draft agreement in MS Word format and contact information, preferably an email address, will be needed.

Who Signs CDAs?

For the Health Sciences Center, Richard Larson, M.D., Ph. D., Vice Chancellor for Research is the authorized signatory.

Why is a CDA important?

CDAs are important because they protect the rights of both parties, governing issues such as:

  • Ownership of information.
  • Limits on the use of the information by the recipient.
  • Rights to inventions resulting from the use of the information.
  • Rights to publish research results obtained through the use of the information.
