A Confidential Disclosure Agreement (CDA), also referred to as non-disclosure agreement (NDA), is a legal agreement between a minimum of two parties which defines information that the parties wish to share with one another for certain purposes, but wish to restrict use and dissemination. The parties agree not to disclose the non-public information covered by the agreement. CDAs are typically executed when two parties are evaluating a relationship or collaboration together and need to understand the other's methods, processes, or technology solely for the purpose of considering the possible future relationship. CDAs must be signed by the Vice Chancellor for Research to make them valid.
Questions around CDAs should be forwarded to the Sponsored Projects Office/PreAward. If you are providing information related to a disclosed invention you should consult with Rainforest Innovations. Any Rainforest registration number should be included with your CDA request.
As with other unfunded agreements, you will need to submit your Confidential Disclosure Agreement request through Click Agreements module. Please be sure to answer every item on the smartform and completing all fields including contact information for the collaborating party. Also, if a CDA is provided by the sponsor, please be sure to upload to the record.
For UNM Health Sciences Center, the Vice President for Research is the authorized signatory. Please do not sign the CDA yourself, as investigators are not an authorized signatory.
